These Terms of Use ("Terms") govern your access to and use of the ViewTeller platform, including any associated mobile applications, websites, and services (collectively, the "Platform"), operated by ViewTeller Inc. ("ViewTeller," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. We may modify these Terms at any time, and your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
1. User Registration & Account Security
You must provide accurate, current, and complete information when registering for an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at support@viewteller.com if you suspect any unauthorized access to or use of your account.
2. License & Intellectual Property
Subject to your compliance with these Terms, ViewTeller grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your internal business purposes. All content, features, and functionality of the Platform are and will remain the exclusive property of ViewTeller and its licensors, and are protected by copyright, trademark, and other intellectual property laws. Any feedback or suggestions you provide about the Platform may be used by ViewTeller without restriction or compensation to you.
3. Prohibited Activities
You agree not to:
- Violate any applicable law or regulation in connection with your use of the Platform;
- Attempt to gain unauthorized access to the Platform, other accounts, or connected systems;
- Interfere with or disrupt the integrity or performance of the Platform;
- Use any automated means (scraping, data extraction tools, bots) to access or collect data from the Platform;
- Reverse engineer, decompile, or disassemble any part of the Platform;
- Transmit viruses, malware, or other malicious code;
- Harvest or collect personal information about other users without consent; or
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
4. Content Ownership
You retain ownership of the content you submit to the Platform (including tickets, comments, photos, and site plan annotations). By submitting content, you grant ViewTeller a broad license to host, use, and process that content to operate, provide, and improve the Platform. Reports and outputs generated by the Platform from your data are owned by ViewTeller, though your underlying rights in the data you submitted are preserved.
5. Warranties & Disclaimers
The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. ViewTeller does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any errors will be corrected.
6. Liability Limits & Indemnification
To the maximum extent permitted by law, ViewTeller's total liability arising out of or relating to these Terms or the Platform will not exceed the greater of (a) $100 or (b) the amount you paid ViewTeller in the 12 months preceding the claim. You agree to indemnify and hold ViewTeller harmless from any claims, damages, or expenses arising from your use of the Platform, your content, or your violation of these Terms.
7. Termination
You may stop using the Platform at any time. ViewTeller may suspend or terminate your access to the Platform immediately and without notice, for any reason, including breach of these Terms.
8. Governing Law
These Terms are governed by the laws of [State], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Platform will be resolved through binding arbitration in [State] under the rules of the American Arbitration Association, on an individual basis only. You and ViewTeller each waive any right to a jury trial or to participate in a class action.
9. Miscellaneous
These Terms constitute the entire agreement between you and ViewTeller regarding the Platform. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. ViewTeller's failure to enforce any provision does not constitute a waiver of that provision.
